By accessing, browsing, or using our website located at www.dkkitchen.autos, or by engaging any of the computer integrated systems design, network engineering, software integration, cybersecurity, cloud solutions, managed support, consulting, or related services offered by DK Kitchen (collectively, the Services), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms, guidelines, or rules applicable to specific services that we may provide.

Our Services encompass a broad range of technology consulting and implementation activities, including but not limited to systems architecture design and planning, enterprise network engineering and optimization, custom software integration and development, cybersecurity assessment and remediation, cloud infrastructure strategy and migration, managed operations and ongoing technical support, IT project management, technology procurement advisory, data center design and modernization, and digital transformation strategy consulting.
The specific scope, deliverables, timelines, fees, and performance standards for any engagement shall be defined in a separate written agreement, statement of work, service level agreement, or project proposal executed between DK Kitchen and the client. In the event of any conflict or inconsistency between these general Terms of Service and the terms of a specific client services agreement or statement of work, the provisions of the specific agreement shall govern with respect to the particular engagement described therein. DK Kitchen reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, provided that any modifications that materially affect ongoing client engagements will be communicated in accordance with the applicable client agreement.
We endeavor to describe and portray our Services as accurately as possible. However, we do not warrant or guarantee that any descriptions of our Services on the website are entirely complete, current, or error-free. The content on our website is provided for general informational purposes only and should not be construed as professional advice specific to your circumstances. You may terminate your account at any time by contacting us at office@dkkitchen.autos and requesting deletion of your account, subject to any ongoing contractual obligations.
5. Intellectual Property Rights — Ownership
All content, materials, features, and functionality available on or through the DK Kitchen website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, code, scripts, architecture diagrams, white papers, case studies, and the design, selection, arrangement, and look and feel thereof (collectively, the DK Kitchen Content), is owned by Dk Grt Kitchener Ltd, its licensors, or other providers of such material and is protected by Canadian and international copyright, trademark, patent, trade secret, database right, and other intellectual property and proprietary rights laws.
Except as expressly authorized in writing by DK Kitchen, no portion of the DK Kitchen Content may be reproduced, duplicated, copied, sold, resold, visited, distributed, modified, or otherwise exploited for any commercial purpose without our express prior written consent. The compilation of all content on the website is the exclusive property of DK Kitchen and is protected by Canadian and international copyright and database right laws. You may not systematically extract or re-utilize parts of the content of the website without our express written consent, including through the use of data mining, robots, or similar data gathering and extraction tools.
6. Intellectual Property Rights — Work Product and Deliverables
Unless otherwise expressly agreed in a written client services agreement or statement of work, all intellectual property rights in and to any deliverables, work product, designs, architectures, code, documentation, configurations, and other materials created or developed by DK Kitchen in the course of delivering the Services (collectively, the Work Product) shall be owned exclusively by DK Kitchen or its licensors. Upon full payment of all fees due under the applicable client agreement, DK Kitchen grants to the client a non-exclusive, non-transferable, perpetual, irrevocable, and royalty-free license to use the Work Product for the client internal business purposes within the scope expressly defined in the applicable statement of work.
The client acknowledges and agrees that DK Kitchen retains all rights, title, and interest in and to any pre-existing materials, tools, methodologies, frameworks, libraries, templates, processes, and know-how used, developed, or enhanced by DK Kitchen in the course of performing the Services, including any modifications, enhancements, or adaptations thereof. DK Kitchen shall be free to use, for any purpose, the general knowledge, skills, experience, ideas, concepts, and techniques acquired or developed during the performance of the Services, provided that such use does not disclose or infringe upon the confidential information of the client.
Where the client provides written specifications, requirements documents, data, or other materials to DK Kitchen for use in connection with the Services, the client represents and warrants that it has all necessary rights, licenses, and permissions to provide such materials and that the use of such materials by DK Kitchen in accordance with the terms of the engagement does not and will not infringe, misappropriate, or violate the intellectual property rights or other rights of any third party. The client retains all ownership of its pre-existing materials and grants DK Kitchen a limited license to use such materials solely as necessary to perform the Services.
7. Intellectual Property Rights — Trademarks
The DK Kitchen name, the DK Kitchen logo, the Dk Grt Kitchener Ltd trade name, and all related names, logos, product and service names, designs, and slogans displayed on the website are trademarks or registered trademarks of Dk Grt Kitchener Ltd or its affiliates in Canada, the United States, and other jurisdictions. You must not use such marks without the prior written permission of DK Kitchen. All other names, logos, product and service names, designs, and slogans on the website are the trademarks of their respective owners and are used for identification purposes only.
No right, title, or interest in or to any trademarks, service marks, or trade names of DK Kitchen is granted to you under these Terms of Service or through your use of the website or the Services. Any unauthorized use of our trademarks or trade dress is strictly prohibited and may constitute a violation of applicable trademark and unfair competition laws, giving rise to claims for damages and injunctive relief. You agree not to use, register, or attempt to register any trademark, service mark, domain name, or social media handle that is confusingly similar to or dilutive of any DK Kitchen mark.

You further agree not to: interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services; violate, intentionally or unintentionally, any applicable local, provincial, state, national, or international law; attempt to probe, scan, or test the vulnerability of the website or any DK Kitchen system or network, or breach any security or authentication measures; collect, store, or transmit personal data about other users without their knowledge and consent; use the website or Services to send unsolicited commercial communications, spam, or chain letters; or use the Services for any high-risk activities where failure or interruption could lead to death, personal injury, or severe environmental or property damage.
9. Confidentiality
In the course of providing the Services and during the pre-engagement consultation and evaluation process, DK Kitchen may receive or have access to confidential, proprietary, and trade secret information belonging to its clients and prospective clients (collectively, Confidential Information). Confidential Information includes, but is not limited to, business plans, financial data, technical specifications, network architecture details, security configurations, source code, customer lists, vendor relationships, pricing strategies, trade secrets, and any other non-public information that a reasonable person would understand to be confidential based on the nature of the information or the circumstances of its disclosure.
DK Kitchen agrees to hold all Confidential Information in strict confidence and to use such information solely for the purpose of providing the Services to the client. We will not disclose Confidential Information to any third party without the prior written consent of the client, except as required by law or as necessary to our employees, contractors, and service providers who have a need to know such information for the purpose of delivering the Services and who are bound by confidentiality obligations at least as protective as those set forth herein. We implement and maintain appropriate technical, organizational, and physical safeguards to protect the confidentiality, integrity, and security of Confidential Information consistent with industry best practices and applicable data protection laws.
The obligations of confidentiality set forth in this section shall survive the termination or expiration of these Terms of Service and any client engagement for a period of five years, or indefinitely with respect to any information that constitutes a trade secret under applicable law. These confidentiality obligations shall not apply to information that is or becomes publicly known through no breach of these Terms by DK Kitchen, is independently developed by DK Kitchen without use of or reference to the Confidential Information, is rightfully received by DK Kitchen from a third party without restriction, or is required to be disclosed by law, provided that DK Kitchen gives the client prompt written notice of such requirement, to the extent legally permitted, and cooperates with any efforts to limit or prevent such disclosure.
10. Disclaimers and Warranties
THE WEBSITE, THE DK KITCHEN CONTENT, AND THE SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DK KITCHEN AND DK GRT KITCHENER LTD HEREBY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
DK Kitchen makes no representations, warranties, or guarantees that the website will be secure, error-free, virus-free, or free from other harmful components, that defects or errors will be corrected, that the content on the website is accurate, complete, reliable, current, or suitable for your purposes, or that the Services or the servers that make the website available are free of viruses or other harmful components. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection, data backup, and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of lost data.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DK KITCHEN, DK GRT KITCHENER LTD, OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, AGGRAVATED, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF BUSINESS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, DATA BREACH DAMAGES, SYSTEM FAILURE, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTORY DUTY, BREACH OF WARRANTY, OR OTHERWISE, EVEN IF DK KITCHEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF DK KITCHEN AND DK GRT KITCHENER LTD FOR ANY CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SERVICE, THE WEBSITE, OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL IN NO EVENT EXCEED THE GREATER OF THE TOTAL FEES ACTUALLY PAID BY YOU TO DK KITCHEN DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED CANADIAN DOLLARS. THIS LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.
The foregoing limitations of liability are a fundamental basis of the bargain between you and DK Kitchen, and DK Kitchen would not provide the website or the Services to you absent such limitations. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, or the limitation of liability for personal injury or death, so the above limitations or exclusions may not apply to you. In such jurisdictions, the liability of DK Kitchen shall be limited to the fullest extent permitted by law. You acknowledge and agree that this allocation of risk is reasonable and that you assume full responsibility for implementing adequate protections and backups for any data, equipment, or systems you use in connection with the Services.
12. Indemnification
You agree to defend, indemnify, and hold harmless DK Kitchen, Dk Grt Kitchener Ltd, and their respective directors, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, judgments, awards, penalties, fines, costs, and expenses (including reasonable legal fees and disbursements on a full indemnity basis) arising out of or relating to your breach of these Terms of Service, your violation of any applicable law, rule, or regulation, your infringement or misappropriation of any third-party intellectual property rights or other rights, your use of the website or the Services in a manner not authorized by these Terms, or your negligent or willful misconduct.
DK Kitchen reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not, in any event, settle any claim or matter without the prior written consent of DK Kitchen, which consent shall not be unreasonably withheld or delayed. This indemnification obligation shall survive the termination or expiration of these Terms of Service and your use of the website and the Services. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it, provided that any failure to provide such notice shall not relieve you of your indemnification obligations except to the extent that such failure materially prejudices your defense.

14. Termination
These Terms of Service shall remain in full force and effect while you use the website or engage the Services. DK Kitchen reserves the right, in its sole discretion and without prior notice or liability, to terminate your access to and use of the website and Services, in whole or in part, for any reason or for no reason, including without limitation if we determine that you have breached any provision of these Terms of Service, if we determine that your conduct could harm DK Kitchen or its reputation, if we are required to do so by law, or if we decide to discontinue or modify the website or any portion of the Services.
Upon termination, all rights and licenses granted to you under these Terms shall immediately cease, and you must promptly discontinue all use of the website and Services, delete or return any DK Kitchen Content and Confidential Information in your possession, and destroy all copies, whether electronic or physical. The provisions of these Terms of Service that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, limitations of liability, indemnification obligations, confidentiality obligations, governing law, and dispute resolution provisions. Termination of these Terms shall not affect any rights or obligations that have accrued prior to the date of termination.
In the event of termination of a specific client engagement governed by a separate services agreement or statement of work, the termination provisions set forth in that specific agreement shall control with respect to that engagement, including any provisions relating to wind-down assistance, transition services, payment of outstanding fees, return of materials, and post-termination obligations. DK Kitchen reserves the right to seek all remedies available at law and in equity for any violation of these Terms of Service.
15. Governing Law
These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the website, or the Services shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to any conflict of law principles that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or to any transactions governed by or related to these Terms.
By agreeing to these Terms, you irrevocably submit and attorn to the exclusive jurisdiction of the courts of the Province of Ontario located in the City of Kitchener for the purpose of any action or proceeding arising out of or relating to these Terms, the website, or the Services. You agree that any such action or proceeding shall be brought and maintained exclusively in such courts and you irrevocably waive any objection to venue or claim of forum non conveniens in such courts. You agree that service of process in any such action or proceeding may be effected by sending a copy by registered mail to the address you provided when using the website or engaging our Services, or if no address was provided, to the most recent address known to DK Kitchen.
Notwithstanding the foregoing, DK Kitchen shall have the right to seek and obtain injunctive or other equitable relief in any court of competent jurisdiction to protect or enforce its intellectual property rights, confidential information, or other proprietary interests without the necessity of posting bond or proving actual damages. You agree that any violation of the intellectual property or confidentiality provisions of these Terms may cause irreparable harm to DK Kitchen for which monetary damages would be an inadequate remedy.
16. Dispute Resolution
DK Kitchen is committed to resolving disputes with our clients and users in a fair, efficient, and cost-effective manner. In the event of any dispute, claim, question, or disagreement arising out of or relating to these Terms of Service, the website, or the Services, the parties shall first attempt to resolve the matter through good-faith informal negotiations. The party raising the dispute shall provide written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have a period of thirty days from receipt of such notice to attempt to resolve the dispute through negotiation.
If the dispute cannot be resolved through informal negotiation within the thirty-day period, the parties agree to submit the dispute to mediation administered by a recognized alternative dispute resolution provider in the Province of Ontario before commencing any formal legal proceedings. The mediation shall take place in Kitchener, Ontario, and the parties shall share equally the costs of the mediator and the mediation process. Each party shall bear its own legal fees and other costs incurred in connection with the mediation.
If the dispute remains unresolved after mediation, either party may pursue any and all remedies available under law, subject to the provisions of these Terms. You agree that any claim or cause of action arising out of or related to your use of the website or Services must be filed within one year after the claim or cause of action arose, or be permanently barred. You further agree to waive any right to participate in any class action lawsuit or class-wide arbitration against DK Kitchen. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
17. Changes to Terms
DK Kitchen reserves the right, in its sole discretion, to modify, amend, or replace these Terms of Service at any time and from time to time as our business evolves and as legal and regulatory requirements change. When we make material changes, we will update the Effective Date at the top of this page and will provide notice through prominent means, which may include posting an announcement on the website, sending an email notification to registered users, or other appropriate communication channels. Changes that are non-material or corrections to typographical errors may be made without prior notice.

Your continued use of the website or the Services after the posting of any amended Terms of Service constitutes your acceptance of and agreement to be bound by the modified terms. No amendment or modification of these Terms made by you shall be binding upon DK Kitchen unless it is in writing and signed by an authorized representative of Dk Grt Kitchener Ltd.
